Terms of Service

Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StriderTeam ("Company," "we," "us," or "our"), a software-as-a-service provider, governing your access to and use of the StriderTeam platform, web application, APIs, and all related services (collectively, the "Service").
By clicking "Sign in," creating an account, accessing any part of the Service, or authorizing anyone else to do so on your behalf, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the terms "you" and "your" refer to that entity.
If you do not agree to these Terms, you must not access or use the Service.
Service Description
StriderTeam is a multi-tenant, cloud-based human resources and workforce management platform. The Service enables organizations to manage employee profiles, track work attendance and leave, process leave requests, store and share employment documents, visualize organizational hierarchies, manage compensation records, and access workforce analytics.
As part of delivering the Service securely, StriderTeam automatically collects certain technical data on each authenticated session, including but not limited to IP addresses, browser type and version, operating system, device type, and approximate geographic location derived from the IP address. This collection is described in detail in our Privacy Policy and Section 9 of these Terms.
We reserve the right to modify, suspend, or discontinue any feature or component of the Service at any time with reasonable notice. We will use commercially reasonable efforts to notify affected users of any material changes.
Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. The Service is intended solely for business use. Individuals using the Service do so as representatives of their employing organization.
3.2 Account Types
The Service distinguishes between two primary account types: (a) Organization Administrators, who configure the organization's workspace, manage feature access, and administer user seats; and (b) Employee Users, who access the Service as authorized by their Organization Administrator.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your authentication credentials. You agree to notify us immediately at legal@striderteam.com if you suspect any unauthorized access to your account. We are not liable for any loss or damage resulting from your failure to maintain credential security.
3.4 Google Authentication
Where Google OAuth sign-in is offered, access is restricted to email addresses on domains registered by your Organization Administrator. StriderTeam does not control Google's authentication systems and is not liable for outages or changes to Google's services.
3.5 One Account Per User
Each individual User may hold only one account. Creating multiple accounts to circumvent seat limits, access controls, or any other restriction is prohibited and may result in immediate termination.
Organization Administrator Responsibilities
By accepting these Terms as an Organization Administrator, you accept additional responsibilities on behalf of your organization:
- You are responsible for ensuring your organization's use of the Service complies with all applicable laws and regulations, including employment law, data protection law (including GDPR if applicable), and any sector-specific regulations.
- You must obtain any legally required consents from employees whose personal data is entered into the Service.
- You are responsible for the accuracy and completeness of employee data entered into the platform.
- You must ensure that your organization's employees are informed that their usage of the platform (including login events, IP addresses, and device information) is logged as described in the Privacy Policy.
- You must promptly de-provision user accounts when an employee's access should be revoked (e.g., upon termination of employment).
- You must not exceed the number of active seats included in your subscription plan.
Acceptable Use Policy
5.1 Permitted Use
You may use the Service solely for your organization's lawful internal business purposes in accordance with these Terms and applicable documentation.
5.2 Prohibited Conduct
You agree that you will not, and will not permit others to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
- Copy, modify, create derivative works of, or sublicense any part of the Service.
- Use the Service to store or transmit infringing, defamatory, unlawful, or tortious material.
- Introduce malware, viruses, Trojan horses, or other malicious code into the Service.
- Perform penetration testing, vulnerability scanning, or denial-of-service attacks against the Service without prior written authorization from StriderTeam.
- Use automated scripts, bots, or crawlers to access the Service in any manner that imposes an unreasonable load on our infrastructure.
- Circumvent or bypass any access controls, authentication mechanisms, or seat-limitation systems.
- Use the Service to process data of individuals who are not employed by or engaged with your organization, or for any purpose other than workforce management.
- Resell, broker, or make the Service commercially available to third parties without our prior written consent.
- Engage in any activity that violates applicable laws, including data protection or privacy regulations.
Data Ownership and Customer Data
6.1 Your Data
"Customer Data" means all data, content, and information that your organization submits to or generates using the Service, including employee profile information, leave records, compensation data, and uploaded documents.
Your organization retains all ownership rights to Customer Data. These Terms do not grant StriderTeam any ownership rights in or to Customer Data.
6.2 License to Process Customer Data
You grant StriderTeam a non-exclusive, worldwide, royalty-free license to process Customer Data solely to provide and improve the Service, fulfill our obligations under these Terms, and as described in our Privacy Policy.
6.3 Data Accuracy
You are solely responsible for the accuracy, quality, integrity, legality, and reliability of Customer Data. StriderTeam has no obligation to verify the accuracy of Customer Data.
6.4 Data Portability and Deletion
Upon request made within 30 days of account termination, StriderTeam will provide a machine-readable export of your Customer Data. After this period, we may delete Customer Data in accordance with our data retention policies. StriderTeam is not liable for any loss of data following termination.
Subscriptions, Fees, and Billing
7.1 Subscription Plans
Access to the Service is provided on a subscription basis. The applicable subscription tier, features, seat count, and fees are defined in your organization's subscription agreement or as displayed in the platform's billing interface.
7.2 Payment
Fees are billed in advance on the billing cycle specified in your subscription (monthly or annual). All fees are non-refundable except as expressly required by law or as described in our refund policy. Late payments may result in suspension of your organization's access to the Service.
7.3 Taxes
All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all such amounts. Where StriderTeam is required by law to collect taxes, those amounts will be added to your invoice.
7.4 Seat Limits
Subscription tiers include a maximum number of active user seats. Exceeding this limit will display a warning in the platform. StriderTeam may suspend access for over-limit users until additional seat capacity is purchased.
7.5 Free Tiers and Trials
Where StriderTeam offers a free tier or trial, additional terms may apply. We reserve the right to modify or discontinue free offerings at any time with notice.
Intellectual Property Rights
8.1 Our Intellectual Property
The Service, including all software, code, designs, text, graphics, logos, interfaces, and documentation, is and remains the exclusive property of StriderTeam and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
8.2 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant StriderTeam a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation or attribution to you.
8.3 Trademarks
"StriderTeam," related logos, and product names are trademarks of the Company. You may not use our trademarks without prior written permission.
Session Monitoring and Automatic Data Collection
9.1 What We Collect on Each Sign-In
For security, fraud prevention, and compliance purposes, every login event automatically records:
- IP Address: The originating IP address of the device used to sign in.
- Approximate Geographic Location: City, country, and latitude/longitude coordinates derived from the IP address using a geolocation lookup database. This is an estimate and may not reflect the user's precise physical location.
- Browser Information: Browser name and full version number (e.g., Chrome 124.0.6367.208).
- Operating System: The name and version of the operating system (e.g., Windows 11, macOS Ventura 13.5).
- Device Type: Whether the access was from a desktop, mobile, or tablet device, and where available, device model information.
- Timestamp: Date and time of the authentication event in UTC.
9.2 Purpose of Collection
This data is collected to: (a) detect and prevent unauthorized access and account takeover; (b) enable Organization Administrators to audit access to their organization's data; (c) comply with security logging requirements; and (d) support incident investigation.
9.3 Organization Administrator Access
Organization Administrators have access to session logs for users within their organization via the administrative dashboard. StriderTeam System Portal administrators have access to platform-wide session data in aggregate for operations and security purposes.
9.4 No Precise Location Tracking
StriderTeam does not request or use browser GPS/geolocation APIs. Location is inferred from IP addresses only, which provides city-level accuracy and is subject to error (e.g., VPN users may show a different city or country).
Confidentiality
Each party agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. "Confidential Information" means any non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach by the receiving party; (b) was rightfully known before receipt; (c) is independently developed without use of the disclosing party's confidential information; or (d) is required to be disclosed by law, provided the receiving party gives reasonable prior notice to the disclosing party.
Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, STRIDERTEAM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We are not responsible for any loss of data caused by technical failures or your failure to maintain adequate backup copies of your Customer Data.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRIDERTEAM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
In no event shall StriderTeam's total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of: (a) the total amount paid by you or your organization to StriderTeam in the twelve (12) months preceding the claim; or (b) one hundred US dollars (USD $100).
The foregoing limitations apply even if StriderTeam has been advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability for incidental or consequential damages; in such jurisdictions, our liability is limited to the fullest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless StriderTeam and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, penalties, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your or your organization's use of the Service; (b) your breach of these Terms; (c) your violation of applicable law; (d) any data you or your organization submit to the Service; or (e) your failure to obtain required consents from employees whose data you manage through the Service.
Term, Suspension, and Termination
14.1 Term
These Terms commence on the date you first access the Service and continue until terminated.
14.2 Termination by You
You may terminate your account at any time by contacting us at legal@striderteam.com. Organization Administrators may terminate their organization's subscription in accordance with their subscription agreement.
14.3 Termination or Suspension by Us
StriderTeam may suspend or terminate your access to the Service, with or without notice, if: (a) you breach these Terms; (b) your subscription payment is overdue; (c) your account is involved in fraudulent, unlawful, or abusive activity; or (d) required by law. We will endeavor to give notice before suspension except where immediate action is necessary.
14.4 Effect of Termination
Upon termination, your right to access and use the Service immediately ceases. Sections 6, 8, 10, 11, 12, 13, and 15–17 of these Terms survive termination.
Modifications to These Terms
StriderTeam reserves the right to modify these Terms at any time. We will provide notice of material changes by: (a) posting the updated Terms on this page with an updated effective date; and/or (b) sending an email notification to the address associated with your administrator account. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
If you do not agree with the modified Terms, your sole remedy is to stop using the Service and terminate your account before the effective date of the changes.
Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with applicable law. Where a governing jurisdiction is specified in a separate subscription agreement, that jurisdiction shall control.
16.2 Informal Resolution
Before initiating formal dispute proceedings, you agree to first contact us at legal@striderteam.com to attempt informal resolution in good faith.
16.3 Class Action Waiver
To the fullest extent permitted by law, you waive your right to participate in any class action, collective arbitration, or representative proceedings against StriderTeam. All disputes must be resolved on an individual basis.
General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and StriderTeam with respect to the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. StriderTeam may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Force Majeure. Neither party is liable for failure to perform their obligations if performance is made impossible by circumstances beyond their reasonable control, including natural disasters, war, acts of government, or widespread internet failures.
